Annual named-user seat rules

These operational terms explain how institutional seats, additions and renewals work.

Current subscription term

  • Institutional subscriptions are annual named-user seat licenses.
  • Unassigned seats remain available until the current subscription expires.
  • An activated learner’s seat cannot be reused for a different learner during the same term.
  • Seats cannot be transferred to another institution.
  • Unused seats are non-refundable, have no cash or credit value and do not roll over automatically.

Adding seats

  • Administrators may add seats at any time during an active term.
  • Stripe calculates the exact prorated charge from the subscription’s billing-period timestamps.
  • New seats share the original renewal date and become available only after successful payment.
  • Self-service additions support a total of up to 250 seats; 251+ requires custom pricing.

Renewal right-sizing

  • Seat reductions do not take effect during the current term and generate no refund or credit.
  • Renewal management opens approximately 60 days before the renewal date.
  • Institutions may schedule a higher or lower quantity for the next annual term, with a 10-seat minimum.
  • Historical learner, assessment and completion records are preserved when a new term begins.
